my sons 360 wasnt working right so I exchanged it for other new one, but now we are unable to use the gold account. Why

Give more info please.

When you replaced the faulty 360 console did you also replace the memory unit ie hard drive or memory card too as they are external? If yes the new memory doesnt know that you had an other memory unit that had an live account thus you need to recover your live account (a tedious process with verifying credit card #) on your new memory unit.
